Brett Sutton

Based in Wellington, Brett is an experienced independent Director who was appointed to the Board in December 2017 and to the role of Chair in July 2024. He was the previous Chair of the Audit Committee and is a member of the Risk Committee. Brett currently Chairs the Medical Assurance Society, Mint Asset Management, Stevenson Group, and Woolyarns boards. He is also a Director of Datacom, HJ Asmuss, Chairs the Reddy Group Investment Committee and is an Advisory Board Member to the Hawkes Bay based Scott & Ricketts Group. Brett is of Ngāi Te Rangi (Eastern Bay of Plenty) descent.
David Smol

Based in Wellington, David was appointed Director in March 2021 and is Chair of the Risk Committee and member of the Audit Committee. David has over 40 years’ experience in the public and private sectors in New Zealand and the United Kingdom. David is currently Chair of GNS, the External Advisory Committee for Department of Internal Affairs and the Risk and Audit Committee for the Ministry of Social Development. He is a Director of Contact Energy, Board Member of NZTA and Tait International and member of the Strategic Advisory Committee of the Ministry of Housing and Urban Development. David was Chief Executive of the Ministry of Business, Innovation and Employment (MBIE) from 2012–2017 and Ministry of Economic Development prior to that from 2008–2012. David was made a Companion of the Queen’s Service Order in 2018.
Helen van Orton

Based in Auckland, Helen was elected as a Director in July 2020 and is the Chair of the People and Culture Committee and a member of the Risk and Technology Committees. She is also a Director of Co-operative Life Limited. Helen brings a wide breath of governance experience to the board, including the Chair of Answer Services (NZ) Ltd, a board director of Centrix Group Ltd and a former Chair of the HR Institute of NZ and Director of The Warehouse Financial Services Ltd, Ruralco Ltd and Zeal. She is also the CEO of Directorly Ltd, a strategic AI consultancy and co-founder and Director of Belle of the Ball - a sustainable ball dress rental business. Helen has over 20 years retail banking experience and 15+ years executive leadership experience with a focus on customer operations, customer experience, digital transformation and marketing, gained while working for brands such Vodafone, Air New Zealand, and Westpac.
Keiran Horne

Based in Christchurch, Keiran was appointed Director in February 2024 and is the Chair of the Audit Committee and member of the Risk and Technology Committees. Keiran is a professional director with experience in both the public and private sectors. Prior to her governance career, Keiran worked as an Accountant specialising in business rescue and insolvency, strategic planning, change management and commercial transactions. She has significant governance experience in strategic risk management and assurance, having chaired numerous Audit and Risk Committees. Keiran has held a range of governance roles including TVNZ, Lotto and Solid Energy. She is currently on the Boards of Enable Network Services Ltd, University of Canterbury, Quayside Holdings Ltd, ScreenSouth Ltd, she also chairs the Strategic Risk and Assurance Committee for Hamilton City Council. Keiran is a Chartered Accountant and Chartered Member of the Institute of Directors.
Kim Gordon

Based in Auckland, Kim was appointed to the Board in April 2025 and is a member of the Audit, Risk, and Technology Committees. Kim has over 30 years technology advisory experience across commercial, procurement, strategy, governance, and legal roles. She was previously a partner at MinterEllison (Aus) and has held a number of not-for-profit, public, and private sector governance roles over a 17-year period. Kim holds a Bachelor of Laws (Hons) and a Bachelor of Commerce from the University of Auckland. She is a member of the New Zealand Institute of Directors.
Nick Astwick

Based in Auckland, Nick was appointed Director in July 2026. Nick is Chief Executive Officer of Southern Cross Health Society, New Zealand's largest health insurer. He has over 20 years' experience in executive leadership roles across financial services and health. Prior to Southern Cross, Nick spent almost 15 years at Kiwibank, including as Chief Operating Officer. Nick has extensive experience in transformation, risk management, regulatory oversight and customer-focused business models.
