The Board has three permanent working committees to assist the Board on four specific areas of focus – the Audit, Risk, Technology and People and Culture committees. Each committee has a charter approved by the Board and is chaired by an independent Director. All Directors may attend Board Committee meetings.
Audit Committee
The Audit Committee assists the Board in its oversight of financial reporting, internal controls and internal audit. Our external auditor is invited to attend all meetings. The Audit Committee comprises Keiran Horne (Chair), Brett Sutton, and Kim Gordon.
Risk Committee
The Risk Committee assists the Board with its responsibility to oversee the effectiveness and integrity of the risk management framework and risk reporting within the Bank’s approved strategic direction and risk appetite. The Risk Committee currently consists of David Smol (Chair), Brett Sutton, Nicky Ashton, Helen van Orton, Keiran Horne, and Kim Gordon.
People and Culture Committee
The People and Culture Committee assists the Board in its responsibility to oversee the effectiveness and integrity of people and culture strategies and policies. It oversees the appointment, remuneration and performance of senior management. The committee comprises Helen van Orton (Chair), Nicky Ashton, and David Smol.

The Technology Committee assists the Board in its responsibility to oversee the technology-related investments, operations, strategies and plans, providing assurance on their alignment with the overall strategy and plan. The committee comprises Nicky Ashton (Chair), Helen van Orton, Keiran Horne, Kim Gordon, and an independent member Peter Muggleston.
